Privacy Policy

This Privacy Policy explains how Vime Inc. ("Vime," "we," "us," or "our") collects, uses, and shares personal data when you use our websites, software, communications, matching service, and related products and services (together, the "Service").

"Personal data" means information that identifies, relates to, or could reasonably be linked with a person. It does not include information that has been aggregated or de-identified so that it cannot reasonably identify a person.

This Policy does not cover a company or service we do not control. It also does not replace any confidentiality duties in a Broker Agreement, Lender Agreement, NDA, or other contract.

1. INFORMATION WE COLLECT

1.1 Information you give us

Account and contact information. We may collect your name, business email, phone number, password or sign-in credentials, employer, job title, location, and account preferences.

Professional and business information. We may collect your work history, professional profiles, role, organization, business relationships, lender criteria, investment mandate, licensing information, and other details about your work.

Deal and financing information. Brokers, Borrowers, and Lenders may provide teasers, financing requests, financial statements, data tapes, ownership information, collateral information, proposed terms, lender lists, diligence materials, and communications about a possible financing. These materials may contain personal data about business owners, guarantors, employees, customers, or other people.

Identity and compliance information. Where needed, we may collect information used to verify identity, authority, business ownership, sanctions status, fraud risk, or compliance. This may include government-issued identification or other sensitive information, but only where we request it or you are authorized to provide it.

Communications. We collect messages, emails, call notes, meeting information, support requests, survey responses, and other communications you send to us or through the Service.

Payment information. If you pay Vime, we may collect billing contact details, transaction records, tax information, and the last digits or type of a payment method. Our payment processor may collect full bank or card details. Vime generally does not receive the full payment credential.

1.2 Information collected automatically

When you use the Service, we may collect:

  1. device and browser type;
  2. IP address and approximate location derived from it;
  3. pages, screens, links, and features you use;
  4. dates, times, referring pages, and session activity;
  5. account, security, and error logs; and
  6. cookie, local storage, and similar identifiers.

We may use cookies and similar tools to keep you signed in, remember settings, protect the Service, understand product use, and measure site performance. Section 8 explains your choices.

1.3 Information from other people and sources

Brokers, Borrowers, and Lenders. A Participant may give us information about another person as part of a financing opportunity, lender mandate, referral, introduction, or diligence process.

Public sources. We may collect professional and business information from company websites, government records, professional directories, public profiles, news sources, and other lawfully available sources.

Service providers and partners. We may receive information from identity, fraud, sanctions, analytics, communication, data, or integration providers.

Connected accounts. If you connect a third-party account or service, we may receive the information you authorize that service to provide. We will explain the requested permissions at the time of connection.

If you give Vime personal data about another person, you represent that you have authority to do so and that you have given any notice or obtained any consent required by law.

2. HOW WE USE INFORMATION

We may use personal data to:

  1. create, manage, and secure accounts;
  2. receive and organize financing opportunities and lender criteria;
  3. prepare summaries, identify possible matches, and coordinate introductions;
  4. operate a double opt-in or other permission process before sharing identities or confidential deal information;
  5. communicate about an account, match, financing opportunity, transaction, support request, security issue, or legal notice;
  6. provide, maintain, troubleshoot, and improve the Service;
  7. understand product use and measure performance;
  8. process payments, invoices, fees, and taxes;
  9. verify identity, authority, business information, sanctions status, and fraud risk;
  10. enforce our agreements and protect Vime, Participants, and the Service;
  11. comply with law, court orders, regulators, and legal process; and
  12. send product news or marketing where permitted by law and consistent with your choices.

We may create aggregated or de-identified information and use it for lawful business purposes, including analytics, service improvement, and market research. We will not try to re-identify information we have treated as de-identified.

3. AI AND AUTOMATED PROCESSING

Vime may use software, AI models, and human review to read submitted material, extract terms, prepare summaries, compare financing opportunities with lender criteria, rank possible matches, and detect incomplete or risky submissions.

These systems can make mistakes. A possible match or extracted term is not a credit decision, approval, recommendation, or substitute for human diligence. Lenders, Brokers, and Borrowers make their own decisions.

We may use third-party AI service providers to process data on our behalf. We require service providers to process data under our instructions and for contracted purposes. Vime does not permit service providers to use confidential Deal Materials to train general-purpose models for their own benefit.

4. HOW WE SHARE INFORMATION

4.1 Other Participants

We share information with Brokers, Borrowers, Lenders, and their advisers when needed to test interest, make an authorized introduction, conduct diligence, negotiate terms, or complete a financing.

Where practical, Vime may first share a limited or de-identified summary. We may disclose identities or confidential Deal Materials when you approve, when your standing instructions permit it, when an applicable NDA permits it, or when otherwise required or allowed by law.

Once information is shared with another Participant, that Participant processes it under its own legal obligations and any contract or NDA that applies. Review the recipient and the information before authorizing disclosure.

4.2 Service providers

We may share information with providers that host data, provide cloud infrastructure, authenticate users, process payments, support communications, supply analytics, provide AI processing, conduct identity or compliance checks, advise us professionally, or otherwise help operate the Service.

These providers may access personal data only as needed for their work for Vime and are subject to contractual or legal duties.

4.3 Legal, safety, and enforcement

We may disclose information if we reasonably believe it is necessary to:

  1. comply with law, regulation, subpoena, court order, or legal process;
  2. respond to a regulator or government authority;
  3. detect, prevent, or investigate fraud, security incidents, sanctions exposure, or unlawful activity;
  4. enforce our agreements or collect amounts owed; or
  5. protect the rights, property, and safety of Vime, a Participant, or another person.

4.4 Corporate transactions

We may disclose or transfer information as part of a financing, merger, acquisition, reorganization, bankruptcy, sale of assets, or similar corporate transaction. A recipient will be required to handle personal data consistently with applicable law.

4.5 With your direction

We may share information when you ask us to or give clear consent.

Vime does not sell personal data for money. Vime also does not share personal data for cross-context behavioral advertising as those terms are defined by California law.

5. LEGAL BASES FOR PROCESSING

Where UK or European data protection law applies, Vime processes personal data under one or more of these legal bases:

Contract. Processing is needed to provide the Service or take steps you request before entering a contract.

Legitimate interests. Processing is needed for Vime's or another party's legitimate interests, such as matching financing opportunities, operating and improving the Service, preventing fraud, securing accounts, communicating with business users, and enforcing agreements. We consider the effect on your rights before relying on this basis.

Consent. We may rely on consent for optional integrations, certain cookies, marketing, or another use explained when we ask. You may withdraw consent at any time, without affecting earlier processing.

Legal obligation. Processing is needed to comply with law, a regulator, court order, or legal process.

Legal claims and substantial public interest. Where allowed, we may process information to establish, exercise, or defend legal claims, prevent fraud, or meet financial crime and sanctions obligations.

6. DATA RETENTION

We keep personal data for as long as reasonably needed to provide the Service, maintain an account, support a financing process, enforce our agreements, collect fees, resolve disputes, meet legal obligations, and protect the Service.

Retention depends on the type of information and why we hold it. For example:

  1. account information is generally kept while an account is active and for 90 days afterward;
  2. deal and transaction records may be kept for 10 years after the related process ends or closes;
  3. billing, tax, compliance, and contract records may be kept for the period required by law;
  4. security logs are generally kept for 5 years; and
  5. backups may remain for a limited period before deletion or overwrite.

We may keep information longer if required by law, litigation hold, regulator, or an active dispute. We may retain aggregated or de-identified information that no longer identifies a person.

7. DATA SECURITY

We use administrative, technical, and organizational measures intended to protect personal data against unauthorized access, loss, misuse, alteration, and disclosure. Measures may include access controls, encryption, logging, vendor review, and staff confidentiality obligations, depending on the data and risk.

No method of transmission or storage is completely secure. You are responsible for protecting your credentials, devices, and copies of information you download or receive.

8. COOKIES AND CHOICES

We may use:

Essential cookies to keep the Service working, remember security settings, and authenticate users.

Preference cookies to remember choices and settings.

Analytics cookies to understand use and improve performance.

You may control cookies through your browser and, where provided, Vime's cookie settings. Blocking some cookies may prevent parts of the Service from working.

You may unsubscribe from marketing email using the link in the message or by contacting wayne@getvime.com. You will still receive transactional, security, and legal notices.

Some browsers send a Do Not Track signal. There is no common industry response to that signal. Where legally required, Vime will recognize valid opt-out preference signals such as Global Privacy Control.

9. YOUR PRIVACY RIGHTS

Depending on where you live and subject to legal exceptions, you may have the right to:

  1. know whether we process your personal data and obtain access to it;
  2. request correction of inaccurate personal data;
  3. request deletion of personal data;
  4. receive a portable copy of certain personal data;
  5. object to or restrict certain processing;
  6. withdraw consent where processing relies on consent;
  7. opt out of certain sales, sharing, targeted advertising, or profiling; and
  8. appeal a decision on a privacy request.

You may submit a request by emailing wayne@getvime.com. We may need to verify your identity and authority. You may use an authorized agent where the law permits, but we may require proof of the agent's authority and direct verification from you.

We will not discriminate against you for exercising a privacy right. We may deny or limit a request where an exception applies, including where information is needed for a transaction, security, fraud prevention, legal compliance, a dispute, or another person's rights.

You may appeal our decision by replying to our response or emailing wayne@getvime.com with "Privacy Appeal" in the subject line.

10. CALIFORNIA PRIVACY NOTICE

If the California Consumer Privacy Act applies to Vime and your information, the categories below describe personal information Vime may have collected during the prior 12 months:

  1. identifiers, such as name, email, phone number, IP address, and account ID;
  2. customer records and contact details;
  3. commercial and transaction information;
  4. internet or other electronic activity;
  5. approximate location;
  6. professional and employment information;
  7. inferences drawn from submitted information, such as possible lender or deal matches; and
  8. sensitive personal information, where needed for identity, compliance, ownership, guarantees, or a financing process.

We collect these categories from the sources in Section 1, use them for the purposes in Sections 2 and 3, and disclose them to the recipients in Section 4.

Vime does not sell personal information for money. Vime has not sold or shared personal information for cross-context behavioral advertising during the prior 12 months. Vime does not knowingly sell or share personal information of anyone under 16.

California residents may have rights to know, access, delete, and correct personal information, to opt out of sale or sharing, to limit certain uses of sensitive personal information, and to receive equal service when exercising those rights. Instructions appear in Section 9.

11. INTERNATIONAL TRANSFERS

Vime is based in the United States. We and our service providers may process information in the United States and other countries, which may have different data protection laws from your country.

Where required, we use a lawful transfer method, such as approved standard contractual clauses, a valid adequacy decision, or another legal mechanism. You may contact wayne@getvime.com for more information about the safeguards that apply.

12. CHILDREN

The Service is for business users and is not directed to children. We do not knowingly collect personal data from anyone under 16. If you believe a child has provided personal data, contact wayne@getvime.com, and we will take appropriate steps to delete it.

13. CHANGES TO THIS POLICY

We may update this Policy as the Service or law changes. We will post the updated Policy with a new effective date. If a change materially affects how we use personal data, we will give additional notice where required, such as through the Service or by email.
